1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of services provided by Golden Care Solutions (DBA - Golden Care Medical) ("Golden Care Solutions," "Company," "we," "us," or "our"). By accessing or using our website, programs, communications, or services, you agree to these Terms. Please read our Privacy Policy which explains how we collect, use, and protect your personal information.

 

2. Services

Golden Care provides care coordination and technology-enabled healthcare support services, including but not limited to Remote Patient Monitoring ("RPM"), Chronic Care Management ("CCM"), patient outreach, care coordination, patient education, and related support services.

Golden Care connects directly with healthcare providers and patients. We act as a care management and support partner under the direction and oversight of licensed providers, and may facilitate clinical workflows and communications as permitted by applicable law.

3. All-50-States Licensing

Golden Care is licensed to operate in all 50 U.S. states. Availability of specific services may vary based on program requirements, provider participation, patient eligibility, and applicable state and federal laws.

4. No Emergency Services

Our services are not intended for emergencies. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.

5. No Medical Advice Disclaimer

Unless explicitly stated otherwise, Golden Care does not provide medical diagnosis or emergency care. Clinical decisions and medical advice are provided by your licensed healthcare provider. Our services support care coordination, monitoring, and communications under provider direction.

6. Age Restriction and Eligibility

You must be at least 18 years of age to use our services.

If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian. By using our services, you represent and warrant that you meet these age requirements.

7. Enrollment, Eligibility & Patient Responsibilities

You agree to provide accurate contact and enrollment information and keep it up to date.

If you use an RPM device, you agree to use it as instructed and communicate issues promptly.

You understand that eligibility for RPM/CCM is determined by your provider and applicable payer rules.

8. SMS/Text Messaging Program Terms

8.1 Description of SMS Use Cases

By enrolling in our services, you may receive SMS/text messages for the following purposes:

• Appointment reminders and scheduling notifications

• Health monitoring alerts and check-ins (e.g., RPM device reminders, vital sign follow-ups)

• Care coordination messages (e.g., care plan updates, medication reminders)

• Educational health information related to your chronic conditions

• Program enrollment confirmations and service updates

• Response messages to your inquiries and support requests

• Survey and feedback requests to improve care quality

8.2 Message Frequency

Message frequency varies based on your program enrollment and individual care needs. You may receive approximately 2-10 messages per week, though frequency may increase during active care episodes or decrease during stable periods.

8.3 Message and Data Rates

Standard message and data rates may apply based on your mobile carrier plan.

Golden Care does not charge for messages, but your wireless carrier may charge you for SMS/text messages and data usage according to your mobile service plan. Please contact your mobile carrier for details about your messaging plan and rates.

8.4 Carrier Liability Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery depends on factors beyond our control, including your carrier's network performance, your device status, and signal availability. We cannot guarantee that messages will be delivered promptly or at all.

8.5 Opt-Out Instructions

You can opt out of SMS messages at any time by:

• Texting "STOP" to any message you receive from our service. You will receive a confirmation message that you have been unsubscribed.

• Contacting our customer support using the contact information in Section 15 below.

• Updating your communication preferences through your patient portal (if applicable).

After opting out, you will no longer receive SMS messages from us, except as required by law or to confirm your opt-out request. You may opt back in at any time by texting "START" to our messaging number.

8.6 Help and Support

For help with text messaging, you can:

• Text "HELP" to any message from our service for assistance.

• Contact customer support using the information in Section 15.

9. Communications Consent (Voice, SMS, Email)

By enrolling in or engaging with our services, you consent to receive care-related communications from Golden Care and/or our service providers on behalf of participating healthcare providers, including via phone calls (including automated or AI-assisted calls where permitted), SMS/text messages (as described in Section 8), voicemail, email, and other electronic communications. These communications are generally informational and related to care coordination, monitoring, scheduling, and support. We do not sell or share personal information with anyone other than the primary care physician assigned to the patient and authorized service providers necessary to deliver care.

9.1 TCPA / A2P Messaging Compliance

You may be asked to provide express consent for automated calls/texts. Consent is not a condition of receiving care or services. You can revoke your consent at any time using the opt-out methods described in Section 8.5.

10. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, disclose, and protect your personal and health information. The Privacy Policy is incorporated into these Terms by reference.

11. Acceptable Use

You agree not to misuse our services or website, including by attempting to access systems without authorization or interfering with service operations.

12. Third-Party Services

We may use third-party vendors (e.g., communications providers, analytics providers, device partners) to support service delivery. Use of third-party services may be subject to their own terms. We require vendors to protect information consistent with applicable law and contractual obligations.

13. Disclaimers

Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted operation or that communications will always be delivered or received.

14. Limitation of Liability

To the maximum extent permitted by law, Golden Care is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the services or website.

16. Indemnification

You agree to indemnify and hold Golden Care harmless from claims arising out of your misuse of services, violation of these Terms, or violation of applicable laws.

17. Changes to These Terms

We may update these Terms periodically. Updates will be posted with a revised "Last Updated" date. Continued use of our services constitutes acceptance of updated Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable federal and state laws. Any disputes shall be resolved through binding arbitration or in the courts of appropriate jurisdiction as permitted by law.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Golden Care Solutions regarding your use of our services.

By using Golden Care Solutions services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy.
